IT-Projects often comprise the introduction of new products to the market, e.g. new software or hardware solutions. Project planning and execution can be supported by consultants with profound IT law skills in order to enhance the project’s success story. IT projects go through different phases and parties should work together on the mutual realization of milestones and core tasks.

For example, we have been dealing with the following IT projects recently:

– Introduction of a new software, based on SAP, for the construction industry (acting on the side of the software provider)

– Introduction of a new digital signage solution and establishment in a network of branch offices (acting on the side of the software provider)

– Development of the eco-system and preparation of market entry of a new software for the direction of medical laboratory equipment (acting on the side of the software provider)

– Design and negotiation of a framework agreement with ISVs for a provider of digital signage solutions

If necessary, we also advise clients in crisis situations of IT projects and negotiate change management procedures in order to bring the project back to the road of success. We can draft settlement agreements, initiate appropriate arbitration proceedings or take the case to Court.

Contracts with German companies are often subject to German law and for foreign companies it is usually hard to estimate which consequences certain provisions in the contract may have. We inform our foreign clients about the legal situation in Germany and advise them during the contract negotiations and implementation of the contract, e.g. in the course of a market entry of a new software product in Germany, or with regard to German software contracts or project agreements.

Potential conflict scenarios must be identified early and be considered in the context of the specific contract wording. Together with our clients, we identify their individual need and offer solutions – always keeping in mind the goal of achieving the best benefit for our clients.

IT-Due Diligence

The IPR often is a company’s most valuable asset. We analyze IT contracts and the respective intellectual property rights, e.g. on software, in the frame of an IT due diligence, in particular for Mergers & Aquisitions, outsourcing projects or for the preparation of some other kind of transfer of rights.

This analysis often leads to unanticipated IT investment and possible regulatory or software compliance issues. As a complement to the review of IT contracts, we also provide a comprehensive evaluation of threats, vulnerabilities, and impacts that are at stake for our Client.

The result of the due diligence usually is a detailed report, including the relevant results in templates as well as a profound evaluation and concrete proposals how to proceed.
